School Service Agreement

Parties

This School Service Agreement is entered into between EduNest, an Udyam Registered Micro Enterprise (UDYAM-KR-03-0739826), and the subscribing school. EduNest and the school are each a party and together the parties.

1. Purpose

EduNest provides a cloud-based school management platform. The school wishes to use the service to manage its operations. This agreement sets out the terms on which EduNest will provide, and the school will use, the service.

2. The Service

EduNest will provide the school access to the service under the selected subscription plan. The service enables management of student records, attendance, academics, fees, homework, timetables, notifications, and communication with parents and students, according to the plan and enabled configuration.

EduNest will use reasonable efforts to keep the service available, secure, and reliable, and will provide support as described below.

3. Roles and Responsibilities

For all personal data entered into EduNest, the school is the Data Fiduciary and EduNest is the Data Processor. EduNest processes personal data only on the school's documented instructions and only to provide the service.

School responsibilities:

• provide accurate information and keep it current;
• decide which staff, parents, and students are granted access;
• keep account credentials secure;
• obtain required consents before entering personal data, including verifiable parental consent for children's data where required by law;
• use the service in accordance with the Terms of Service and applicable law.

EduNest responsibilities:

• provide the service in accordance with this agreement;
• protect school data using reasonable technical and organisational measures;
• process personal data only to provide the service and only on the school's instructions;
• not sell school data or use children's data for advertising;
• assist the school, on reasonable request, with data access, correction, export, and deletion requests.

4. Fees and Payment

• The school will pay the subscription fees agreed in the selected plan, invoice, or Schedule A.
• Fees are payable in advance for each billing period through EduNest's payment partner.
• Fees are exclusive of applicable taxes unless stated otherwise.
• EduNest may revise pricing with at least thirty days' prior notice, applying from the next billing period.
• If payment is not received, EduNest may suspend access after reasonable notice.

5. Term, Trial, and Termination

• If a free trial is offered, it applies for the stated period. Continued use after the trial requires payment.
• The agreement begins when the school starts using EduNest or accepts the commercial terms.
• Either party may terminate for convenience with thirty days' written notice unless otherwise agreed.
• Either party may terminate immediately if the other party materially breaches the agreement and does not cure the breach within fifteen days of notice.
• On termination, the school may request export of its data. EduNest will delete or anonymise school data after the retention period, subject to legal requirements.

6. Data Protection and Security

• EduNest uses reasonable technical and organisational measures including HTTPS/TLS, role-based access, school isolation, restricted administrative access, audit logs, and backup practices.
• EduNest is designed to host school data in India using the Mumbai / ap-south-1 region.
• EduNest processes personal data only to provide the service and only on the school's instructions.
• If EduNest becomes aware of a personal data breach affecting school data, it will notify the school without undue delay and cooperate in addressing it.
• EduNest uses trusted service providers including Supabase, Razorpay, Resend, and messaging providers where enabled.

7. Data Ownership, Export, and Deletion

All data the school enters into EduNest belongs to the school. EduNest claims no ownership over school data. A registered school administrator may request a full CSV export or deletion by emailing hello@edunest.online from the registered administrator address. EduNest verifies requests before processing them.

8. Support and Availability

EduNest provides support by email at hello@edunest.online and, where offered, by phone or WhatsApp during business hours, Monday-Saturday, 9:00 AM-6:00 PM IST.

EduNest will use reasonable efforts to keep the service available and schedule maintenance outside school hours where practicable. Availability is not guaranteed to be uninterrupted.

9. Confidentiality

Each party will keep the other party's non-public information confidential and use it only for the purpose of the agreement. This does not apply to information that is public, independently developed, or required to be disclosed by law.

10. Liability

To the maximum extent permitted by law, EduNest's total liability under this agreement in any twelve-month period will not exceed the fees paid by the school in that period. Neither party is liable for indirect or consequential losses. Nothing limits liability that cannot legally be limited.

11. Governing Law and Disputes

This agreement is governed by the laws of India. The parties will attempt to resolve disputes amicably. Failing that, the courts at Bengaluru, Karnataka have jurisdiction, subject to applicable law.

12. General

• This agreement, together with the Terms of Service, Privacy Policy, and Data Protection & Security page, forms the agreement between the parties on this subject.
• Neither party may assign the agreement without the other's consent, except EduNest may assign it as part of a transfer of its business on notice.
• If any provision is unenforceable, the rest remains in effect.
