Terms of Service

1. Agreement

These Terms of Service govern the use of the EduNest school management platform. By creating an account, subscribing to, or using EduNest, the school and its authorised users agree to these Terms. If you do not agree, do not use the service.

If a school signs a separate School Service Agreement with EduNest, that agreement governs the commercial relationship. These Terms continue to apply to day-to-day use of the service and are read together with it.

2. The Service

EduNest is a cloud-based platform that helps schools manage student records, attendance, academics, fees, homework, timetables, notifications, and communication with parents and students. Features available to a school depend on the subscription plan and enabled configuration.

We may improve, modify, or add features over time. We will not materially reduce the core functionality of a paid plan during a billing period without notice.

3. Accounts and Eligibility

To use EduNest, a school must provide accurate registration information and keep it current. The school is responsible for:

• maintaining the confidentiality of account credentials;
• all activity that occurs under its accounts;
• ensuring staff, parents, and students granted access are authorised to use EduNest;
• promptly notifying EduNest of any unauthorised account use.

A person creating a school account must be authorised to act on behalf of that school.

4. Free Trial

EduNest may offer a free trial, such as a 30-day trial. During the trial, the school can use the service without subscription charge. At the end of the trial, continued use requires an active paid subscription. We may change or discontinue trial offers at any time.

5. Subscriptions, Fees, and Payment

• Paid subscriptions are billed according to the plan selected by the school.
• Current plans and prices are shown during sign-up, on the website, or in a separate agreement.
• Fees are payable in advance for each billing period through EduNest's payment partner.
• Fees are exclusive of applicable taxes unless stated otherwise.
• If payment is not received, EduNest may suspend access after reasonable notice.

6. Refunds and Cancellation

A school may cancel a subscription at any time. Cancellation stops future renewals but does not automatically refund the current billing period unless otherwise agreed in writing. Refunds are handled in accordance with our Refund Policy. On cancellation, the school may request a data export.

7. Your Data and Ownership

All data a school enters into EduNest, including student, parent, staff, academic, attendance, homework, timetable, and fee records, belongs to the school. EduNest claims no ownership over school data.

EduNest processes school data only to provide the service, on the school's instructions, as described in our Privacy Policy and Data Protection & Security page.

A school may request CSV export or deletion by emailing hello@edunest.online from a registered administrator address.

8. Acceptable Use

Users must not:

• use EduNest for unlawful purposes or in violation of applicable law;
• upload content they do not have the right to use;
• attempt unauthorised access to EduNest, other schools' data, or our systems;
• interfere with service integrity, security, or performance;
• reverse engineer, resell, or sublicense the service except where expressly permitted;
• store or transmit malicious code.

EduNest may suspend accounts that violate these rules.

9. Responsibility for Content and Consents

The school is responsible for the accuracy of data it enters and for obtaining any consents required by law before entering personal data into EduNest, including verifiable parental consent for children's data where required under the Digital Personal Data Protection Act, 2023. EduNest provides tools and cooperation to support the school but does not obtain these consents on the school's behalf.

10. Availability and Support

EduNest uses reasonable efforts to keep the service available and reliable. We may occasionally perform maintenance and will try to schedule it outside school hours where practicable. The service is provided on a reasonable-efforts basis and uninterrupted availability is not guaranteed.

11. Service Providers

EduNest relies on trusted providers to run the service, including Supabase for database and hosting, Razorpay for payments, Resend for email delivery, and messaging providers where alerts are enabled. Their services are used only to operate EduNest.

12. Disclaimers

To the extent permitted by law, EduNest is provided as is and as available. We do not warrant that the service will be error-free or uninterrupted. Schools remain responsible for maintaining any records their institution or applicable law requires.

13. Limitation of Liability

To the maximum extent permitted by applicable law, EduNest's total liability arising out of or related to the service in any twelve-month period will not exceed the amount paid by the school for the service in that period. EduNest is not liable for indirect, incidental, or consequential damages, or for loss of data to the extent caused by factors beyond our reasonable control. Nothing in these Terms limits liability that cannot legally be limited.

14. Indemnity

The school agrees to indemnify EduNest against claims arising from misuse of the service, violation of these Terms, or failure to obtain required consents for data entered into EduNest.

15. Suspension and Termination

EduNest may suspend or terminate access for non-payment, violation of these Terms, or where required by law, after reasonable notice where practicable. On termination, the school may request export or deletion of its data as described above.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka have jurisdiction over disputes, subject to any applicable law that provides otherwise.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify schools through the service or by email and update the last updated date above. Continued use after changes take effect constitutes acceptance.
